		Although there are only three nominees for the three
	vacancies on the Board, it is necessary that the new Directors
	be "elected" by the Meeting. As a Meeting can only express
	its decisions by way of Resolution, it will be necessary
	for the appointments to be voted upon.

		As to a block vote, taking all three names together,
	Section 183 of the Companies Act provides that "a motion for
	the appointment of two or more persons as Directors of the
	Company shall not be made unless a Resolution that it shall
	be so made has first been agreed to by the Meeting without
	any vote being given against it".

		Unless a unanimous vote for a block election has been
	passed each candidate's name will have to be proposed
	individually and voted upon, and if necessary a poll taken
	upon each separate one.
