		[Meeting of Directors held at the Hotel St. George,
		Liverpool, June 15th 1914]

Present		All the Directors except Mr. Coffey who wrote
		regretting his inability to be present at that meeting
		and at the Annual Meeting owing to the critical
		illness of his brother.

		The Auditors attended and submitted a series of
		queries arising from an examination of the proxies
		as follows:-
		Is a proxy good if:-
	     1.	It contains no date of meeting anywhere on the
		proxy.
		The Chairman held that if it contains a date
		which shows it is for the current year's meeting,
		then the proxy is good. e.g. if the full date
		including the year on which the proxy is given
		is inserted, this is sufficient evidence as to its being
		for the current year's meeting.
	     2.	It contains no date of meeting in body of proxy
		but has the date or year at heading.
		The above decision answers this question.
	     3.	It contains June 15th, but no year.
		The first decision answers this question.
	     4.	It contains no address or description of the parties
		who are appointed proxies.
		The Chairman held that the proxies were good
		if the name of the proxy or proxies was that of a
		shareholder.
	     5.	It is witnessed by one of the parties named as a proxy
		where alternative proxies are appointed.
		The Chairman held that no witness was necessary
		on the proxies, and the question to be decided was
