In September 1913 Kirkwood explained to the board that he thought Mr E. Francis had broken the rules at the Everton AGM by recording the attendance of shareholders. This should have been done by the auditors. The secretary, Thomas McIntosh, was asked to investigate. Enquiries revealed that one of the auditors, Mr Crouch, had made a mistake and asked Francis to initial it. Francis had done nothing wrong.
